TECHNE CORPORATION ANNOUNCES
LITIGATION SETTLEMENT
Minneapolis/May 30, 2002/--
Techne Corporation announced today that it has settled its pending litigation
with Amgen, Inc. with a cash payment of $17.5 million. In connection with
the settlement, Techne will take a charge to earnings in the current quarter
for the amount of the settlement. The after-tax amount of the charge will
be approximately $11.4 million or $0.27 per share.
The settlement will have
no effect on future results of Techne other than the loss of interest
income on the cash being paid. Techne expects to have a fully productive
relationship with Amgen. Future operations and sales of Techne will not
be affected adversely in any way. On an operating basis, excluding effects
of the Amgen settlement, Techne continues to expect that it will achieve
record results in the fourth quarter and fiscal year ending June 30. Techne
also expects that as of June 30, after paying the Amgen settlement, it
will have a cash plus short term investments balance of approximately
$95 million.
Statements in this release
and elsewhere which look forward in time, including expectations of results
for the fourth quarter and fiscal year, involve risks and uncertainties
which may affect the actual results of operations. The following important
factors, among others, have affected and, in the future, could affect
the Company's actual results: the outcome of litigation involving the
Company, the introduction and acceptance of new biotechnology and hematology
products, the levels and particular directions of research into cytokines
by the Company's customers, the impact of the growing number of producers
of cytokine research products and related price competition, the retention
of hematology OEM and proficiency survey business, the impact of currency
exchange rate fluctuations, and the costs and results of research and
product development efforts of the Company and of companies in which the
Company has invested or with which it has formed strategic relationships.
For additional information concerning such factors, see the Company's
annual report on Form 10-K and quarterly reports on Form 10-Q as filed
with the Securities and Exchange Commission.
